Membership Terms and Conditions of Use
AICOOR BİLGİ TEKNOLOJİLERİ LTD. ŞTİ. Transleyt (www.transleyt.com), developed and produced by ("www.aicoor.com"), specializes in artificial intelligence-powered machine translation services, offering online translation, simplification, conversion and OCR services. In addition to paid subscription options, Transleyt also offers the opportunity to create corporate accounts for institutions and businesses for business or private purposes. In this case, the Member can use Transleyt's products without making any payment in accordance with these Membership Terms and Conditions of Use ("Terms and Conditions").

1- Definitions
1.1 "Agreement" refers to the agreement between the Member and Transleyt regarding the use of the Products in accordance with these Terms and Conditions.
1.2 "Business days" means Monday to Friday, excluding public holidays in Turkey.
1.3 "Characters", "Number of Characters" has the meaning specified in the definition.
1.4 "Credits" has the meaning specified in the definition of "Credit Limit".
1.5 "Content", as specified in the Terms of Service by the Member. It refers to the text sent to the system and intended to be processed by the machine translation infrastructure operated by Transleyt.
1.6 "Member" refers to the person or organization that uses the Products or services as a contractual party of Transleyt.
1.7 "Transleyt Translator" refers to the basic version of Transleyt's online translation service and provides the Member with access to Translation Services as set out in the Terms of Service through various front ends (for example, the transleyt.com website and Transleyt applications).
1.8 "Number of Characters" refers to the number of characters of the content transmitted to Translator Translator based on the character encoding used. For the avoidance of doubt, multi-byte encoded characters are counted as a single character.
1.9 "Credit Limit" refers to the number of credits of content delivered to Transleyt based on minute, character and page modelling. Each recording length (1 min = 1 Credit) and number of pages (1 page = 1 credit) of content uploaded in the audio, OCR and document tabs is calculated as one credit.
1.10 "Processed Content" means all processed using Transleyt Refers to the content.
1.11 "Products" refers to the member account and Transleyt.com, excluding testing functions.
1.12 "Translate "Button" means the clearly marked button that completes the online registration process (for example, labeled "continue", "sign up" or similarly).
1.13 "Confirm Button" means the credit credit in the pop-up that opens when the dial button is clicked. It refers to the button that appears after the calculation. When clicked, the calculated credit, if any, is deducted from the credit limit. This process is irreversible.
1.14 "Service Specifications" refers to the list of functionalities and features of Transleyt specified in the registration process during the conclusion of this Agreement.
2- Subject of the Agreement
2.1 Subject to these Terms and Conditions and the Terms of Service, Transleyt provides the Member with access to the Products in accordance with the Terms of Service throughout the term of this Agreement.
3- Transleyt's Services
3.1 General
3.1.1 Transleyt provides the Member with access to the Products, including the Service Specification, within the term and scope of this Agreement.
3.1 .2 Procuring and providing the hardware and software required for connection to the Internet, maintaining the network connection and using the Products is not the subject of this Agreement. In order to use the products, the member is obliged to provide internet access and to provide all necessary technical devices for this purpose and to cover the fees incurred in this context.
3.1.3 Transleyt provides additional functions to members for testing purposes in alpha or beta versions. ("test functions"). These test functions are marked as such or alpha or beta. Test functions are the subject of this agreement. Transleyt may offer them to corporate or individual members, and the Member is obliged to pay for the use of the testing functions. Test functions are designed for paid use by the Member and revenue generation by Transleyt. Test functions are designed for testing use by the Member and evaluation by Transleyt. These are not the final product or specifications and may contain errors or other inaccuracies. Transleyt may change, adapt or discontinue test functions at any time. Members are responsible for the credits spent while using the test functions and can obtain these credits by paying.
3.1.5 Transleyt has the right to transfer its contractual obligations partially or completely to third parties.
3.2 Changes to the Products.
3.2.1 Transleyt may modify and modify the Products and their range of functions beyond what is necessary to maintain the Products in accordance with the contract, if a valid reason requires such changes. Changes (i) to ensure compliance with changes in relevant legislation or case law, (ii) to implement changes in technical requirements, for example, a new technical environment or other operational reasons, or (iii) to adapt the Products to changing market conditions, for example, increased number of users, or modifications or modifications There is a valid reason, for example, to make the Products more user-friendly or to improve their security.
3.2.2 Changes to the Products and their range of functions in accordance with “Section 3.2.1” at no additional cost to the Member
4- Concluding the Agreement
4.1 The Member must provide all information marked as required for registration, enter a valid e-mail address and a password that meets the requirements specified therein, and press the Register Button. By clicking here, you make a binding offer to register to use the Products ("Registration Application"). Until clicking on this button, the Member can cancel the registration process at any time or change the information provided by deleting, adding or correcting the information provided in the various fields or by closing the web browser or tab. After completing the registration process, the Member can change the information provided in the user account at any time.
4.2 The contract is concluded after clicking on the Registration Button, when the following page is successfully loaded and the message "Your Translayt Account has been created" appears ("Conclusion of the Contract") .
4.3 Transleyt provides services immediately after the Contract is concluded.
4.4 The Contract can be concluded in Turkish.
5- Copyright and Intellectual Property
5.1 Transleyt grants Members a non-exclusive, non-transferable, non-sublicensable worldwide right to use the Products for internal purposes within the term and scope of this Agreement.
5.2 Transleyt supports Members. grants a non-exclusive, non-transferable, non-sublicensable worldwide right to use the materials (if any) within the term and scope of this Agreement, in particular to reproduce them and to provide them to contractors to the extent necessary for the intended use of the Products.
5.3. All rights not expressly granted, in particular the rights of processing, distribution, public disclosure and/or other use of the Products, are reserved by Transleyt. The relevant provisions of the Turkish Intellectual and Artistic Works Law are reserved.
5.4 All rights regarding the Content and Processed Content will belong to the Member. However, Member grants Transleyt a non-exclusive worldwide right to use the Content and Processed Content for the provision of Services and training of Transleyt's neural networks. In particular, the Member grants Transleyt the right to store, modify, process, translate and transmit the Content and Processed Content and to sublicense the above-mentioned rights to any subcontractor to the extent necessary to provide the Services specified in the Agreement or to train Transleyt's neural networks.
5.5 Transleyt does not claim any copyright on the translations made by the Member using the Products. If translations made by the Member using the Products are deemed to be protected for the benefit of Transleyt under copyright laws, Transleyt grants the Member, upon the creation of such translations, all exclusive, transferable, sublicensable, worldwide rights, including the right to use the translations without limitation and for any and all current or future uses. grants indefinite rights throughout; These rights include, without limitation, the right to modify translations and create derivative works.
6. Member's Obligations
6.1 All information provided by the Member for registration or in the member account must be complete, accurate and truthful. The Member is obliged to keep all information in the user account up to date.
6.2 The Member may use the Products only for the purpose agreed between the parties and only in accordance with applicable laws. In particular, the Member will not use and will not allow third parties to use the Products, translations created using the Products or other data, information or services provided by Transleyt for any of the following purposes, unless expressly authorized by Transleyt in writing:
a) Translating or otherwise processing personal data with Products provided by Transleyt - this is only permitted within the scope of the specific agreement with Transleyt and after conclusion of a data processing agreement with Transleyt;
b) Critical within the meaning of European Directive 2008/114/EC in connection with or for the purpose of the operation of critical infrastructure such as power plants, military or defense equipment, medical devices or other equipment whose failure or deterioration could cause unforeseeable economic or physical damage. including but not limited to infrastructure;
c) For any illegal activity, including the development of any application that violates third party rights or other applicable laws or regulations;
d) To send spam or other unsolicited advertising;
e) To perform benchmarking or other capacity tests of Transleyt's technical infrastructure;
f) To create a similar product, service or API whose primary purpose is to provide machine translation services, including but not limited to dual/multilingual dictionaries;
g) To develop, market or train a machine translation algorithm;
h) To transmit to Transleyt any data that cannot be transmitted to or processed by Transleyt due to data protection laws, contractual or statutory confidentiality obligations, export restrictions or other legal provisions or third party rights.
6.4 Member shall notify Transleyt in connection with the provision of services under this Agreement. is obliged to comply with all legal requirements for the collection, processing and use of data transmitted and processed by Transleyt for the Member. This includes export control laws and regulations.
6.5 If Member uses third-party applications to access Products, Member shall comply with the relevant usage policies (if any) established by the provider.
7. Contract Term and Termination
7.1 The Contract has been concluded for an indefinite period.
7.2 The Member may terminate the Contract at any time by sending a notice of termination by e-mail to [email protected].
7.3 Transleyt may terminate the Agreement at any time with a notice period of one week. Transleyt may terminate the Agreement, especially if the Member has not used the Products for a long time.
7.4 The right to legal termination for justified reason is reserved.
7.5 Transleyt has the right to temporarily block the Member's access to the Products in the following cases:
a) In the event of a serious, persistent, imminent or repeated material breach of these Terms and Conditions, in particular an obligation set out in Section 1, or
b) Transleyt's compliance with Section 2
Transleyt may also notify you if (i) the blocking is necessary for technical reasons or (ii) Transleyt is obliged to block the Member's access by law or by a judicial or regulatory order. It has the right to temporarily block the Member's access to the Products. Without prejudice to any other rights under this Agreement, Transleyt will restore access within a reasonable period of time if the violation does not continue, is no longer imminent, or the Member provides a binding declaration that the violation will not recur, or if the technical or legal reason for the blocking no longer exists.
7.6 For Products with a maximum monthly usage limit, Transleyt will only allow the number of characters specified in the contract to be translated by the credit amount (as described in the Service Description) within a billing period. Once the monthly usage limit is reached, the Member will no longer be able to use the Products unless a product with a higher character count is purchased (if available).
8. Changes to Terms and Conditions
8.1 Transleyt reserves the right to change and adapt this Agreement with future effect if there is a valid reason and such changes are deemed reasonable in the interests of both parties. A valid reason may exist in particular in the following cases: a significant deterioration in the balance of the Agreement that was not foreseen by Transleyt at the time of conclusion of the Agreement, changes being required due to technical or legal changes, or the integration of new features that are additionally provided after the Agreement has been entered into and require contractual arrangements.
8.2 Transleyt will always keep the amended terms and conditions updated at this address (www.transleyt.com/uyelikveanalizim). The member is responsible for checking the links under the "terms" heading at this address or at the bottom of the site. Following changes, the changed terms and conditions are deemed to have been accepted without any written notification. Before the changes come into force, Transleyt may inform the Member about the legal consequences of these changes, the right to object, the objection period and the consequences of not objecting. If the member does not object to the changes within the specified period, the changed terms and conditions are deemed to have been accepted.
9. Liability
9.1 Transleyt does not give any guarantee and accepts no liability for the accuracy or availability of the translation, simplification, conversion, OCR or improvement services provided.
9.2 The Member is responsible for checking the accuracy of the results obtained by using Transleyt services. Transleyt cannot be held responsible for any damage or loss that may arise from the use of these results.
9.3 Transleyt does not guarantee that the service will be uninterrupted or error-free. Transleyt cannot be held responsible if the service is temporarily unavailable due to technical malfunctions, maintenance work or other reasons.
9.4 Transleyt's liability is limited to direct damages, except in cases of intent or gross negligence, and in no case may exceed the total of fees paid in the relevant billing period.
9.5 The Member is obliged not to violate third party rights by using Transleyt services. In case of such a violation, all responsibility belongs to the Member.
10- Fees and Payment

Fees will be automatically charged to your credit card. If you wish to benefit from the bulk package determined and announced by Transleyt, the total price of this package will be charged before you benefit from the Products and Services. If you wish to receive monthly service, that month's fee will be collected in advance before the Products and Services for the relevant period are provided.
11. Final Terms
11.1 Member's terms and conditions shall not form part of this Agreement unless Transleyt expressly accepts them in writing. These Terms and Conditions do not affect other agreements existing between the Member and Transleyt.
11.2 This Agreement shall be governed exclusively by the laws of the Republic of Turkey, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG) and its conflict of laws provisions. If the member is a consumer within the meaning of Article 23 of the Turkish Civil Code ("TMK"), the mandatory statutory consumer regulations according to the laws of the country where the consumer has his habitual residence will remain unaffected.
11.3 The exclusive jurisdiction for all disputes arising from or in connection with this Agreement is Istanbul courts and enforcement offices; This is provided that the contracting parties are businessmen ("merchants"), or the Member does not have general legal jurisdiction in Turkey or any other country, or has moved its permanent residence to a foreign country after these Terms and Conditions have come into force, or has no place of residence or habitual residence at the time the complaint is filed. It is valid if the residence is not known. Otherwise, the place of jurisdiction will be determined according to legal regulations.
